General Terms and Conditions

Article 1 – Definitions

1. In these Terms and Conditions, the following terms shall have the meanings set out below, unless the context indicates otherwise.
2. The Insiders Lab: the private limited liability company The Insiders Lab B.V., having its registered office at the Netherlands, registered with the Dutch Chamber of Commerce under number 99551926.
3. Platform: the digital environment operated by The Insiders Lab, including but not limited to its website, applications, notification systems and any related technical infrastructure.
4. Community: any interactive environment, group, forum, chat or discussion area made available by or through the Platform, including environments hosted or facilitated by third parties.
5. Services: all services provided by The Insiders Lab consisting exclusively of general educational and informational content relating to financial markets or investments, based on publicly available information.
6. User: any natural person or legal entity that creates an Account and/or uses the Platform or Services.
7. Subscription: the paid Agreement granting the User access to the Platform and Services for a specified period, which is always paid in advance.
8. Account: the personal or business access profile created by the User in order to use the Platform and Services.
9. Agreement: any agreement between the User and The Insiders Lab concerning the use of the Platform, Services and/or a Subscription, of which these Terms and Conditions form an integral part.
10. Trial Period: a one-time trial period of seven (7) days, if and to the extent offered by The Insiders Lab.
11. Content: all information, data, texts, analyses, signals, notifications, software and other materials made available via the Platform or Community by or on behalf of The Insiders Lab.
12. Signals: automated, non-personalised informational indicators generated on the basis of publicly available data and predefined criteria, without any assessment of individual suitability, appropriateness or personal circumstances of the User.

Article 2 – Applicability

1. These Terms and Conditions apply to all offers, Services, Subscriptions, Agreements and any use of the Platform, Account or Community provided or operated by The Insiders Lab.
2. By creating an Account, using the Platform or purchasing a Subscription, the User expressly agrees to be bound by these Terms and Conditions.
3. Any deviations from these Terms and Conditions are only valid if explicitly agreed in writing by The Insiders Lab.
4. The applicability of any general terms and conditions of the User is expressly excluded.
5. If one or more provisions of these Terms and Conditions are wholly or partially invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced by a provision that most closely reflects the intent and economic purpose of the original provision.
6. Any ambiguities regarding the interpretation or situations not expressly regulated in these Terms and Conditions shall be interpreted in accordance with their spirit and purpose.
7. The applicability of Articles 7:404 and 7:407(2) of the Dutch Civil Code is expressly excluded.

Article 3 – Services and Educational Character

1. The Services provided by The Insiders Lab consist exclusively of general educational and informational content.
2. The Services are of a general nature only, are non-individual, and are not tailored to the personal financial situation, objectives or risk profile of any User.
3. Any information, analyses, data interpretations or Signals made available through the Platform are based solely on publicly available information and are provided for educational and illustrative purposes only.
4. The Services do not constitute and may not be interpreted as:
   • financial advice;
   • investment advice;
   • a recommendation to buy, sell or hold any financial instrument; or
   • any other form of regulated financial service.
5. Signals, notifications or references to transactions or positions are not calls to action and do not constitute personal recommendations within the meaning of applicable financial supervision laws.
6. The Insiders Lab does not assess suitability, appropriateness or risk tolerance and does not perform any form of profiling.
7. The Insiders Lab does not guarantee that publicly available data sources are complete, accurate, up to date or uninterrupted, and such sources may be amended, delayed or withdrawn at any time.
8. All Services are provided on the basis of a best-efforts obligation only.

Article 4 – Formation of the Agreement

1. The Agreement between The Insiders Lab and the User is concluded at the moment the User successfully completes the subscription process via the Platform and the applicable subscription fee has been paid in full in advance.
2. Access to the Platform and Services is granted only after:
   • the creation of an Account by the User; and
   • receipt of full payment by The Insiders Lab.
3. The Insiders Lab reserves the right to refuse or discontinue access to the Platform or Services without stating reasons, including but not limited to cases of suspected misuse, non-compliance with these Terms and Conditions, or legal or regulatory considerations.
4. The Insiders Lab is not bound by an offer or subscription if the User could reasonably have understood that such offer contained an obvious mistake or clerical error. No rights may be derived from such errors.
5. The Agreement is entered into electronically and no written signature is required.
6. Each Account is strictly personal and non-transferable, unless expressly agreed otherwise in writing by The Insiders Lab.

Article 5 – Subscriptions, Duration and Termination

1. The Services of The Insiders Lab are offered exclusively on the basis of paid Subscriptions.
2. All Subscriptions are paid in advance and grant the User access to the Platform and Services for the subscription period selected at the time of purchase.
3. Subscriptions may be offered on a monthly, annual, lifetime or other specified basis, as communicated on the Platform.
4. A lifetime subscription grants access for the operational lifetime of the Platform or the relevant Service, as determined by The Insiders Lab, and does not guarantee perpetual availability.
5. Unless expressly stated otherwise, Subscriptions are entered into for a fixed term corresponding to the chosen subscription period and may renew automatically.
6. Automatic renewal, pricing, billing frequency and cancellation methods shall be clearly communicated at checkout.
7. Termination or cancellation of a Subscription does not entitle the User to any refund of amounts already paid, except where mandatory law provides otherwise.
8. Upon expiration or termination of a Subscription, the User's right to access the Platform, Services and Community shall automatically end.
9. If the User qualifies as a consumer under Dutch law, the User has a statutory right to withdraw from the Agreement within fourteen (14) days, unless an exception applies.
10. By clicking the purchase or payment confirmation button and completing the payment process, the User expressly requests immediate access to the Platform and Services.
11. As a result of such request, the User acknowledges and agrees that:
    • the Services commence immediately upon completion of the purchase;
    • digital delivery takes place instantly after payment; and
    • the User waives the statutory right of withdrawal to the extent permitted by law once the Services have been fully or partially performed.
12. The consent referred to in this Article shall be obtained explicitly at checkout.

Article 10 – No AFM-Regulated Activities and No Financial Advice

This is particularly important:

1. The Services provided by The Insiders Lab consist exclusively of general educational and informational content within the meaning of applicable Dutch and European law.
2. The Insiders Lab explicitly confirms that it does not perform, offer or purport to perform any activity that qualifies as a regulated financial service or investment service within the meaning of the Dutch Financial Supervision Act (Wet op het financieel toezicht – Wft), the Markets in Financial Instruments Directive (MiFID II) or any related implementing or delegated legislation.
3. The Insiders Lab is not subject to supervision by the Dutch Authority for the Financial Markets (Autoriteit Financiële Markten – AFM) in respect of the Services and does not require a licence, registration or exemption under the Wft for the activities described in these Terms and Conditions.

Article 17 – Limitation of Liability

1. The Platform, Services and Content are provided on an "as is" and "as available" basis, without any warranties or guarantees of any kind, whether express or implied.
2. To the fullest extent permitted by applicable law, The Insiders Lab shall not be liable for any damage, loss or costs of any nature whatsoever, whether direct or indirect.
3. The Insiders Lab shall in no event be liable for any investment losses, trading losses, portfolio losses or other financial losses incurred by the User.
4. If, notwithstanding the provisions of this Article, The Insiders Lab is held liable for any damage, such liability shall in all cases be limited to the total amount actually paid by the User for the relevant Subscription during the twelve (12) months preceding the event giving rise to the liability.

Article 20 – Amendments, Applicable Law and Jurisdiction

1. The Insiders Lab may amend these Terms and Conditions at any time. Amended Terms and Conditions shall apply from the moment they are published on the Platform.
2. Continued use of the Platform, Services or an active Subscription after publication of amended Terms and Conditions constitutes acceptance thereof.
3. These Terms and Conditions, as well as any Agreement between The Insiders Lab and the User, are governed exclusively by Dutch law.
4. Any disputes arising out of or in connection with these Terms and Conditions or the Agreement shall be submitted exclusively to the competent court in the Netherlands.
